Terms of Service

These Terms of Service ("Agreement") are applicable to the agreement between Simple Frontend, owner of Watchly ("Watchly" or "we") and the person accessing the Watchly service ("Customer" or "you"). Any use of the Service provided by Watchly is always subject to this Agreement, and other terms as may be applicable. By accepting this Agreement the Customer acknowledges and agrees that the Customer's use of the Service is subject to this Agreement.

Definitions

"Service" means Watchly's deployment monitoring platform as described at https://www.watchly.dev and available at https://app.watchly.dev/.


"Customer Material" means data or material sent by the Customer to the Service or otherwise communicated to Watchly for the provision of the Service.


"Intellectual Property Rights" means patents, inventions, designs, copyright and related rights, database rights, trade marks, trade names (whether registered or unregistered), knowhow and confidential information, and all other rights of a similar nature anywhere in the world.

The Service

Watchly is a Software-as-a-Service platform that offers deployment monitoring through dashboards and deployment management features.


Watchly reserves the right to make changes to the Service at any time. If a change has a material adverse effect on the agreed functionality of the Service, Watchly shall inform the Customer of such change at least thirty (30) days before the effective date of the change. In such case the Customer shall have the right to terminate this Agreement as of the effective date of the change subject to a fourteen (14) days' prior written notice, email being sufficient.


Unless expressly set out to the contrary, the Service is not subject to any particular service levels, and is provided to the Customer strictly on an "as is" and "as available" basis, and Watchly makes no representation or does not warrant the availability of the Service at any particular time.

Right to Use the Service

Subject to Customer's due payment of the applicable Fees (where applicable) and compliance with this Agreement, Watchly hereby grants to the Customer a non-exclusive, non-transferable, non-sub licensable, limited right and license to use the Service during the term and subject to the terms and conditions of this Agreement.


Watchly offers both free personal use and paid plans for the Service. For free personal users, the Service may be used for personal, non-commercial purposes. For paid plans, the Customer's right to use the Service is limited to the Customer's internal business operations and internal business purposes only. The Customer may not use the Service for the benefit of any third party or grant any third party access to use the Service.


This Agreement applies to all users of the Service, including free personal users and paid subscribers. By using the Service, whether as a free personal user or paid subscriber, the Customer agrees to be bound by all terms and conditions of this Agreement.

Customer's Obligations

The Customer shall be responsible for the protection of data communications and costs for communications related to use of the Service.

Suspension of Services

Watchly shall have the right to suspend the provision of the Service for a reasonable period of time if this is necessary in order to perform installation, change or maintenance work in respect of the Service.


Watchly shall have the right to suspend the Service if the Customer is in default with its payment of any Fees due under this Agreement and does not pay such Fees despite a request to pay within fourteen (14) days from the date of such request. This provision does not apply to free personal users who are not subject to Fees.


Watchly shall have the right to deny the Customer access to the Service, if Watchly reasonably suspects that the Customer uses the Service contrary to this Agreement, applicable laws or administrative orders, or in a manner that unreasonably burdens the Service or otherwise jeopardizes the provision of the Service to other users.

Intellectual Property Rights

All rights, title and interest, including all Intellectual Property Rights in and to the Service and any changes thereto shall belong exclusively to Watchly or its licensors. Except for the express license to use the Service granted to the Customer under this Agreement, the Customer shall have no rights, license or interests in and to the Service or any Intellectual Property Rights pertaining thereto.


All rights, title and interest, including all Intellectual Property Rights in and to the Customer Material shall belong exclusively to the Customer. The Customer grants to Watchly a non-exclusive right and license to use the Customer Material during the term of this Agreement for the purpose of providing the Service to the Customer.

Data Protection

Watchly may process personal data as regards the Customer, for the purpose of providing, developing and marketing the Service. In such case Watchly is a controller and such processing shall be subject to Watchly's Privacy Policy as available at https://www.watchly.dev/privacy-policy.

Fees

Watchly offers both free personal use and paid plans for the Service. The Fees for paid plans are set out in Watchly's price list as applicable from time to time. The Fees for the use of the Service shall be invoiced monthly on each agreed-upon periodic renewal, as specified in the applicable order form or payment checkout page provided by Watchly.


Watchly reserves the right to change the Fees from time to time upon thirty (30) days prior notice. In such a case the Customer shall have the right to terminate this Agreement as of the effective date of the change subject to a fourteen (14) days' prior written notice, email being sufficient.


The Fees are exclusive of governmental taxes and levies, which Watchly reserves the right to invoice if applicable or required by law. Fees continue to accrue during any suspension due to late payment.


Watchly reserves the right to modify, suspend, or discontinue the free personal use offering at any time, with or without notice. Free personal users acknowledge that the free tier may have limitations compared to paid plans, and Watchly may change these limitations at its discretion.

Confidentiality

Each Party shall keep in confidence all material and information received from the other Party and marked as confidential or which should be understood to be confidential ("Confidential Information"), and may not use such Confidential Information for any other purpose than those set forth in this Agreement. The Customer's Confidential Information expressly includes Customer Material and any business, technical or financial information related to the Customer.


The confidentiality obligation shall not apply to material and information, (a) which is or later becomes generally available or otherwise public; (b) which the receiving Party has received from a third party without any obligation of confidentiality; (c) which was rightfully in the possession of the receiving Party prior to receipt without any obligation of confidentiality; (d) which a Party has independently developed without any use of or reference to the Confidential Information received from the other Party; or (e) which a Party is required to disclose under any mandatory law or by order of a court or governmental body of competent jurisdiction.

Disclaimer of Warranties

Except as expressly stated in this Agreement, Watchly makes no representations or warranties, whether express, implied, statutory or otherwise, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Watchly does not warrant that: (i) the Service shall operate in combination with any other services, systems, software, hardware or data; (ii) the Service or any information obtained through the Service shall meet the Customer's requirements or expectations; or (iii) the Service shall be uninterrupted, error-free or virus-free, or that errors or defects therein will be corrected.

Limitation of Liability

The total aggregate liability of Watchly under and in relation to this Agreement shall not exceed the amount of Fees paid by the Customer to Watchly for the Service during the twelve (12) months immediately preceding the event giving rise to liability. For free personal users who have not paid any Fees, Watchly's total aggregate liability shall be zero.


Watchly shall not be liable for any loss of profits, revenue or business, damages caused due to decrease in turnover or production or loss, alteration, destruction or corruption of data or indirect, incidental, or consequential damages.


The foregoing limitations of liability shall not apply to: (i) damages caused by willful misconduct or gross negligence; or (ii) Customer's payment obligations under this Agreement.

Term and Termination

This Agreement shall enter into force when the Customer logs in to the Service and shall remain in force for a fixed term of one (1) month ("Subscription Term"). Thereafter, this Agreement shall remain in force for subsequent term(s) of the same duration as the Subscription Term until terminated by either Party by giving a written notice to the other Party at least thirty (30) days before the end of the then-current term, email being sufficient, or in the case of the Customer, by canceling the Customer's subscription or account via the Service at least thirty (30) days before the end of the then-current term.


Each Party may terminate this Agreement for cause with immediate effect upon written notice to the other Party if: (a) the other Party becomes insolvent, applies for or is adjudicated in bankruptcy or liquidation or otherwise ceases to carry on its business; or (b) the other Party is in material breach of the terms and conditions of this Agreement and fails to remedy such breach within thirty (30) days from the date of receipt of a written notice by the non-defaulting Party.


Watchly shall be entitled to terminate this Agreement with immediate effect where the Customer has used or allowed any third party to use the Service contrary to this Agreement.


Upon termination for whatever reason, except for termination for convenience by Watchly, no paid Fees will be returned by Watchly, and the Customer is obliged to pay the Fees past due at the effective date of such termination. This provision applies only to paid subscribers and not to free personal users.

Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the substantive laws of Germany, excluding its choice of law provisions.


Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or validity thereof, shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

Other Terms

Watchly shall be free to use subcontractors in the performance of its obligations under this Agreement. Watchly shall be liable for the acts and omissions of its subcontractors under this Agreement as for its own.


Watchly may use the Customer's name and logo to identify the Customer as a customer of Watchly. Watchly's use of the name and logo does not create any ownership right therein and all rights not granted to Watchly are reserved by the Customer.


Neither Party shall be entitled to assign nor transfer all or any of its rights, benefits and obligations under this Agreement without the prior written consent of the other Party, which consent shall not be unreasonably withheld or delayed. Watchly shall, however, have the right to assign this Agreement in connection with a sale, transfer, merger or reorganization of its business or a relevant part thereof.


Watchly shall have the right to update this Agreement at its sole discretion. Watchly shall notify the Customer of such update at least thirty (30) days in advance. Should the Customer not accept the updated Agreement, the Customer shall have the right to terminate this Agreement by a written notice to Watchly, email being sufficient, effective as of the effective date of the new Agreement.


Any terms and conditions that by their nature or otherwise reasonably should survive a cancellation or termination of this Agreement shall also be deemed to survive.
